Morality Clause

Definition

A provision allowing a party—typically the brand—to terminate the agreement if the creator engages in conduct that the brand deems offensive, illegal, or harmful to its reputation. Exact triggers vary widely by contract.

For Creators

Morality clauses are one of the most creator-unfavorable provisions in influencer contracts. Vague language like 'conduct inconsistent with Brand values' can be weaponized to terminate and avoid payment. Push for specific, objective triggers and require written notice plus a cure period.

For Brands

Sample Contract Language

Brand may terminate this Agreement immediately upon written notice if Creator is arrested for, or charged with, a felony; is found to have made statements that are discriminatory on the basis of race, gender, religion, or sexual orientation; or engages in conduct that a reasonable person would find offensive and that directly and materially harms Brand's reputation.
